The sellers were motivated to join a larger international group, leveraging the PE-backed buyer’s future exit plan, following their successful launch in Queensland.
For Rapid Circle, the acquisition represented the first step in their expansion into the Australian mid-market and is part of their broader strategy to build an international presence with Microsoft capabilities.
SCD engaged with Insync Technology over a 1-year period, providing monthly board support and M&A preparation. A full sale process began just before COVID-19 hit, causing the process to be paused when investor sentiment stabilised. During the pause, SCD continued to advise and prepare the business for a future sale, ensuring it remained well-positioned when the market was ready.
SCD added value through its deep knowledge of the Microsoft ecosystem and by successfully running a “prep4sale” initiative 6 months before the transaction. This groundwork enabled a smooth re-engagement with acquirers, leading to 3 non-binding offers.
SCD’s understanding of the financial and strategic fit between Insync Technology and Rapid Circle (backed by Mentha Capital) allowed for the identification of the most suitable partner, ensuring a successful outcome.
