Preparation
Development of an initial Approach List through a full market screening
Typically 1 - 2 months
Facilitate discussion of M&A criteria (Target Identification Criteria or TIC) Screen for targets using TIC (Long List) First qualification on targets (Short List) Complete Screening Report including 1-page description on the Short List targets
Approach
Qualifying and gathering information on Approach List targets to decide which to bid on (Evaluation List)

Contact & qualify targets Negotiate NDAs Prepare and facilitate introductory meetings Complete an Approach Report detailing outcomes from meetings Facilitate discussions with interesting targets
Negotiation
Make offer(s) on the appropriate target(s)

Complete valuations on targets on the Evaluation List Draft term sheets / non-binding indicative offers (NBIOs) Approach target(s) with offer(s) and drive negotiations
Due Diligence
Facilitate successful due diligence on target, identifying risks and opportunities
Typically 2 months
Virtual dataroom (VDR) management Manage Q&A and information flows Project manage the due diligence workstreams Manage financial, legal and other advisors
Closing
Facilitate the satisfaction of conditions precedent and completion of deal
