Calcutta Group Pty Ltd is a 25+ person Brisbane- and Sydney-based project management consultancy.

TSA Management is an Australian project management and advisory firm, which at the time was a portfolio company of Livingbridge Private Equity, and has since been sold to Quadrant Private Equity.

For the sellers, joining a larger group allowed them to enhance credibility with large clients and offer a more substantial incentive plan for key staff.

The transaction provided TSA access to specialised sector knowledge in infrastructure and property, complementing their core project management business, and supported growth in line with their private equity strategy.

TSA Advisory was formed through the acquisition, which added value to the TSA’s overall offering.

Calcutta Group engaged SCD to manage a full sale process, leveraging SCD’s experience in negotiating with private equity players and expertise in the project management space. SCD efficiently handled the preparation stage, producing a teaser, budget, and information memorandum. The outreach process included engaging potential buyers through Q&A, management presentations, and negotiations, leading to 3 offers.

SCD Value Add

SCD’s strong local track record in the PMO sector and experience with private equity deals were instrumental in facilitating a successful transaction. Despite not being the highest bidder, TSA Management was selected due to the strategic and cultural alignment with Calcutta Group. SCD’s expertise ensured a smooth process.
