For the sellers, the deal provided liquidity after receiving multiple direct inbound approaches in the defence and Canberra markets.

For APP, the acquisition created a new defence service line within their engineering company, aligning with the growth strategy of their private equity backer.

Terra Schwartz engaged SCD for a full sale process due to SCD’s expertise in the project management sector and experience working with companies focused on government clientele. SCD quickly prepared the sale documents within one month and devised a strategy to offer a pre-emptive bid window for high-priority buyers, including APP. During the marketing phase, Terra Schwartz received significant interest and ultimately signed an NBIO and entered exclusivity with APP due to their strategic fit.
