Bolloré Logistics is a global logistics and transportation company, operating in over 100 countries. It is a wholly-owned subsidiary of the Bolloré Group, a multinational conglomerate.

Deal Rationale

For Bolloré (our client), the acquisition aimed to establish a presence in a new state (South Australia).

For the sellers, the deal provided an opportunity for retirement while offering staff new career growth opportunities.

SCD Approach

Bolloré engaged SCD to accelerate the acquisition of a pre-identified target, relying on SCD’s expertise in cross-border transactions within people and IP-based businesses. SCD provided financial due diligence and strategic advice on the commercial aspects, including structuring an earnout. Although discussions had been ongoing for 18 months and multiple NBIOs had been issued prior, SCD’s involvement led to the final NBIO agreement and completion of the acquisition within 3 months.

SCD brought local market knowledge and valuation expertise to the table, ensuring the right deal structure was organised for our client. By conducting a thorough review of the target’s financials, financial reporting procedures, and site visits, SCD was able to facilitate necessary deal adjustments and provide a clear path to closing. Our capacity to streamline the process and negotiate the appropriate earnout structure helped complete the acquisition swiftly and effectively.
